Terms of Service

These terms govern your use of the websites and products provided by Capstone Software Solutions Ltd ("Capstone", "we", "us"), a company registered in England & Wales (company no. 17074228), including Footnote, Engage, AccountFlow, Footnote Property and related services (the "Service"). By creating an account or using the Service, you agree to these terms. If you are agreeing on behalf of a firm, you confirm you are authorised to bind it.
1. The Service
Our products help UK professionals get answers grounded in official guidance, generate documents, and manage their practice. AI-generated answers are grounded in public sources (such as HMRC, GOV.UK and Land Registry guidance), cited, and confidence-scored; where evidence is insufficient, the product is designed to refuse rather than guess. We may improve, change, or discontinue features over time.
2. Accounts
You must provide accurate registration details and keep your credentials secure. You are responsible for activity under your account and for your team members' use. Notify us promptly of any unauthorised access.
3. Acceptable use
You agree not to: misuse or attempt to disrupt the Service; access it other than through our interfaces; reverse-engineer or scrape it; upload unlawful, infringing, or malicious content; or use it to provide a substantially similar competing service. You must have the right to submit any client data you enter, and you must comply with applicable law, including data protection.
4. Trials
Free trials are provided as a limited taste of the Service: currently three days or five questions, whichever comes first, with no card required. Trials are provided "as is", may change, and may not be combined or repeated to circumvent limits.
5. Subscriptions & billing
Paid plans are billed monthly in advance through our payment provider (Revolut) unless stated otherwise. All prices are exclusive of VAT; VAT is added at the applicable rate. Subscriptions renew automatically until cancelled; you can cancel at any time and your plan continues to the end of the current billing period. Except where required by law, payments are non-refundable. We may change prices on reasonable notice, effective at your next renewal.
6. Intellectual property
We and our licensors own the Service, including its software, design, and content. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the data and content you submit, and you grant us the rights needed to operate and provide the Service to you. Outputs generated for you (such as answers and reports) are yours to use in your practice.
7. Not professional advice
The Service is a professional tool, not a substitute for your own judgement. Answers, reports, and figures are provided to support qualified professionals and must be reviewed before you rely on them. Capstone does not provide legal, tax, accounting, or other professional advice, and you remain responsible for advice you give to your clients.
8. Disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, we exclude all implied warranties, including fitness for a particular purpose. We do not warrant that the Service will be uninterrupted, error-free, or that every answer will be complete or correct.
9. Liability
Nothing in these terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud). Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, data, or goodwill; and our total liability arising out of or in connection with the Service is limited to the amount you paid us in the twelve months before the claim.
10. Term & termination
These terms apply while you use the Service. You may stop using it and cancel at any time. We may suspend or terminate access if you materially breach these terms or where necessary to protect the Service or comply with law. On termination, your right to use the Service ends; we will make your data available for a reasonable period on request before deletion, subject to our retention obligations.
11. Governing law
These terms are governed by the laws of England & Wales, and the courts of England & Wales have exclusive jurisdiction.
